Introduction

Welcome to AJ Graphics. These Terms and Conditions govern your use of our IT services. By engaging with our services, you agree to comply with and be bound by these terms

Definitions

Company: AJ Graphics, its subsidiaries, and affiliates.
Client: Any individual or entity that engages the Company for IT services.
Services: The IT services provided by the Company, including but not limited to software development, Graphics Designing, Web Development, Digital Marketing, Video Editing, and IT Management.

Scope of Services

The Company will provide the Services as agreed upon in the Service Agreement or Statement of Work (SOW) signed by both parties. The Services will be delivered in a professional and timely manner.

Payment Terms

Fees: The Client agrees to pay the Company the fees specified in the Service Agreement.
Invoicing: The Company will invoice the Client as per the terms specified in the Service Agreement.
Payment: Payments are due within 05 days of the invoice date. Late payments may incur interest at the rate of 20% per month.

Client Responsibilities

Access: The Client must provide the Company with access to all necessary resources and information required to perform the Services.
Compliance: The Client is responsible for ensuring compliance with all relevant laws and regulations related to the Services.
Data Backup: The Client is responsible for backing up all data and ensuring data integrity prior to the commencement of the Services.

Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and confidential information exchanged during the provision of the Services. This obligation shall continue for 01 years after the termination of the Service Agreement.

Intellectual Property

Ownership: All intellectual property created by the Company in the course of providing the Services shall remain the property of the Company unless otherwise agreed in writing.
License: The Company grants the Client a non-exclusive, non-transferable license to use the deliverables for their internal business purposes.

Warranties and Disclaimers

Ownership: All intellectual property created by the Company in the course of providing the Services shall remain the property of the Company unless otherwise agreed in writing.

Limitation of Liability

Indirect Damages: The Company shall not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the Services.
Maximum Liability: The Company’s total liability under the Service Agreement shall not exceed the amount paid by the Client for the Services.

Termination

For Convenience: Either party may terminate the Service Agreement with 10 days’ written notice.
For Cause: Either party may terminate the Service Agreement immediately if the other party breaches any material term of these T&C and fails to cure such breach within 10 days.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Judicial System of Pakistan.

Dispute Resolution

Any disputes arising out of or in connection with these Terms and Conditions shall be resolved through negotiation. If the dispute cannot be resolved amicably, it shall be submitted to mediation or arbitration in Islamabad, Pakistan.

Amendments

The Company reserves the right to amend these Terms and Conditions at any time. The Client will be notified of any significant changes.
